Welcome to EJS Accounting ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our accounting, tax, and financial advisory services (collectively, the "Services"). By engaging our Services, you agree to these Terms. Please read them carefully.
1. Services Provided
We offer a range of accounting, corporate and personal tax preparation, and business advisory services. The scope of our engagement will be defined in a separate agreement between you and EJS Accounting.
2. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information necessary for us to deliver the Services.
Respond promptly to our requests for information or documentation.
Review all documents and communications we provide and promptly inform us of any errors or concerns.
Make timely payments for our Services as outlined in our engagement letter or invoice.
3. Confidentiality
We are committed to maintaining the confidentiality of your information. We will not disclose your personal or financial information to any third party except as required by law or as needed to provide the Services. Our use of your information is governed by our Privacy Policy.
4. Fees and Payment
Our fees for Services will be agreed upon in a separate engagement letter or agreement.
Payment is due upon receipt of our invoice unless otherwise specified. Late payments may be subject to interest charges at the rate specified in the engagement letter.
We reserve the right to suspend or terminate Services if payments are not made timely.
5. Intellectual Property
All materials, reports, and documents prepared by us as part of the Services are our intellectual property unless otherwise agreed upon. You are granted a limited, non-transferable license to use these materials solely for your personal or business purposes.
6. Limitations of Liability
Our Services are provided on an "as is" basis. We do not warrant that the Services will be error-free, timely, or meet your specific requirements.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Services.
Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to us for the specific service that gave rise to the claim.
7. Indemnification
You agree to indemnify, defend, and hold harmless [Accounting Firm Name] and its partners, employees, and agents from any claims, liabilities, damages, or expenses arising out of your use of the Services, your breach of these Terms, or your violation of any law or regulation.
8. Termination
Either party may terminate the engagement with or without cause by providing written notice to the other party.
Upon termination, you agree to pay for all Services rendered up to the date of termination.
We reserve the right to retain your documents and records until payment is made in full.
